Upgrade or buying a new one?

I dont see any problem on your specs except the RAM, PSU and Optical Drive which needs upgrade only.

I prefer 8800GT especially it is highly priced :)

For motherboard, choose ASUS

Different countries have different supply of motherboard models so its hard to specify for you.

Just go to a Computer Shop then ask the model which applicable to your hardware specification.
